Overview

Noah J. Leichtling is the head of the New York Corporate group. His principal areas of practice are general corporate, private equity, and mergers and acquisitions. He handles domestic and international acquisitions and dispositions, equity co-investments, growth capital investments, leveraged transactions, debt and equity financings, venture capital investments, investment fund formation, strategic partnerships, transfer, purchase and licensing of intellectual property rights, corporate restructurings and reorganizations and other complex commercial transactions.

Noah is regularly involved in advising private equity investors in the management of their portfolio companies, including liquidity events, such as private sales, add-on acquisitions and investments, divestitures, and joint ventures; liquidity and transfer rights, including drag-along and tag-along rights, member/stockholder buyout arrangements, put and call rights, rights of first refusal and rights of first offer; corporate governance rights, including board election rights, board and board committee composition and board and member/shareholder voting rights, including minority and other member/shareholder protections; and day-to-day executive compensation, labor and employment, tax, intellectual property and litigation matters. Noah also provides ongoing representation to public and private companies, including boards of directors, committees, and directors and executive officers on general legal and corporate governance matters.

Among Noah’s clients are private equity sponsor groups, multinational public and private corporations and closely held businesses operating in a variety of industries, including advertising, apparel, communications, consumer retail, entertainment, fashion, health care, information technology, manufacturing, marketing, media and venture capital. Additionally, he regularly advises emerging growth companies in their formation, financing and general representation and the representation of investors involved with such companies.

Noah is a regular speaker and participant at industry and trade association conferences on topics involving private equity investments and the consumer retail industry.
