Overview

D. Stephen Antion is head of the Los Angeles Corporate group and represents private equity firms, entrepreneurial businesses, family offices and wealthy families in a wide range of transactions with an emphasis on mergers and acquisitions, corporate finance and securities law. He acts as outside general counsel to a number of private companies where he advises on governance, executive compensation and complex commercial transactions. He has represented clients in many industries, including packaging, software, distribution, finance, digital media, retail, aerospace and consumer products. Steve also represents wealthy families in a wide range of matters, including investments, estate planning, tax strategies and real estate matters, providing integrated and holistic advice on matters that address their specific needs.

In addition to providing general corporate counsel, Steve also collaborates with attorneys in the firm’s insolvency and restructuring practice in representing acquirers of distressed and bankrupt companies.

Prior to joining Katten, Steve was president of Ridgestone Corporation, a private investment company, where he sourced, structured and monitored private equity and real estate investments. He was also responsible for asset allocation, manager selection and performance reviews of Ridgestone’s passive investments. Prior to joining Ridgestone, Steve was a partner in the Los Angeles office of O’Melveny & Myers LLP and co-chair of that firm’s Middle Market Practice Group.

Steve has served on the boards of both public and private companies and regularly speaks on topics related to hedge funds, private equity, venture capital and private family offices.

  • Representation of a private equity firm in the acquisition from the lenders of the assets of a distressed consumer products business structured as a UCC Article 9 foreclosure sale.
  • Representation of a private investor in the acquisition of an Internet marketing services business.
  • Representation of a private equity firm in the acquisition and recapitalization of an online advertising business.
  • Representation of a private equity firm in a "carve out" acquisition of a division from a large packaging company; subsequently represented the business in an add-on acquisition of another packaging business.
